1. Agreement to Terms
By accessing our website at savlicon.co.ke or engaging our services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our website or use our services.
2. Services
Savlicon Limited provides managed IT support, cybersecurity, web & software development, cloud solutions, and M-Pesa integration services. Specific service terms, scope, and deliverables are outlined in individual Service Level Agreements (SLAs) executed between Savlicon and the client.
3. Service Level Agreements
All service engagements are governed by a signed SLA that specifies: scope of work, response times and availability, pricing and payment terms, escalation procedures, and termination conditions. In the event of conflict between these general Terms and a specific SLA, the SLA shall prevail.
4. Payment Terms
All prices listed on our website are in Kenyan Shillings (KSh) and exclude VAT unless otherwise stated. Managed IT services are billed monthly in advance. Project-based services (web development, cybersecurity audits) require a 50% deposit before work commences, with the balance due upon completion. We accept M-Pesa, bank transfer, and corporate cheques. Invoices not paid within 30 days may incur a late fee of 2% per month.
5. Client Responsibilities
Clients are responsible for: providing timely access to systems and information required for service delivery; maintaining accurate records of hardware and software inventories; ensuring authorized personnel are available for consultations and approvals; complying with applicable laws regarding the data and systems we manage on their behalf; and promptly reporting any security incidents or service issues.
6. Intellectual Property
All content on savlicon.co.ke, including text, graphics, logos, and software, is the property of Savlicon Limited and protected by intellectual property laws. For custom development projects: upon full payment, the client receives ownership of the custom code and designs created specifically for them. Savlicon retains the right to reuse general frameworks, methodologies, and non-proprietary components.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information disclosed during the course of service delivery. This obligation survives termination of the service relationship for a period of 3 years.
8. Limitation of Liability
To the maximum extent permitted by Kenyan law, Savlicon's total liability for any claim arising from our services shall not exceed the fees paid by the client for the specific service giving rise to the claim in the 12 months preceding the incident. Savlicon shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
9. Data Protection
We process personal data in accordance with our Privacy Policy and Kenya's Data Protection Act, 2019. Where Savlicon acts as a data processor on behalf of a client, a Data Processing Agreement (DPA) will be executed as part of the SLA.
10. Termination
Either party may terminate managed service agreements with 30 days written notice. Savlicon reserves the right to suspend services immediately if payment is overdue by more than 60 days or if the client breaches material terms. Upon termination, Savlicon will provide reasonable assistance for data migration and transition to a new provider.
11. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to: natural disasters, power outages, internet disruptions, government actions, pandemics, or civil unrest.
12. Dispute Resolution
Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to mediation under the rules of the Chartered Institute of Arbitrators (Kenya Branch). The governing law is the Laws of Kenya, and the courts of Nairobi shall have exclusive jurisdiction.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use of our services after changes constitutes acceptance.
